By accessing, browsing, or using ReviewFunnel ("Service"), operated by ReviewFunnel ("Company", "we", "us", or "our"), you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must immediately cease all use of the Service.
ReviewFunnel provides a review management and routing platform for businesses. The Service is provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, regarding the operation, availability, accuracy, reliability, or completeness of the Service.
You are solely responsible for: (a) maintaining the confidentiality of your account credentials; (b) all activity that occurs under your account; (c) ensuring all information you provide is accurate, current, and complete; (d) complying with all applicable local, state, national, and international laws and regulations in connection with your use of the Service. You agree to notify us immediately of any unauthorized use of your account.
You agree NOT to: (a) use the Service for any unlawful, fraudulent, or harmful purpose; (b) fabricate, manipulate, incentivize, or solicit fake reviews; (c) violate any third-party platform's terms of service, including but not limited to Google's review policies; (d) send spam, unsolicited messages, or communications that violate CAN-SPAM, TCPA, or similar legislation; (e) attempt to gain unauthorized access to the Service or its systems; (f) interfere with or disrupt the Service; (g) reverse engineer, decompile, or disassemble any part of the Service; (h) use the Service to harass, defame, or harm any person or entity; (i) upload or transmit viruses, malware, or other harmful code. Violation of these terms may result in immediate account termination without refund.
You retain ownership of content you submit. However, by using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your content solely for the purpose of providing and improving the Service. You represent and warrant that you have all necessary rights to the content you submit and that such content does not infringe upon any third party's rights. We are not responsible for the accuracy, legality, or appropriateness of any user-submitted content, including customer reviews and feedback.
The Service may redirect users to third-party platforms (e.g., Google Reviews). We have no control over, and assume no responsibility for, the content, policies, or practices of any third-party platforms. You acknowledge that review platforms may change their policies, APIs, or functionality at any time, which may affect the Service's operation. We are not responsible for any consequences arising from reviews posted on third-party platforms, including but not limited to negative reviews, business reputation changes, or policy violations on those platforms.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF THE SERVICE OR ANY CONTENT. WE DO NOT GUARANTEE ANY SPECIFIC RESULTS, INCLUDING BUT NOT LIMITED TO INCREASED REVIEWS, IMPROVED RATINGS, HIGHER SEARCH RANKINGS, OR INCREASED REVENUE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REVIEWFUNNEL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR REPUTATION; COST OF PROCUREMENT OF SUBSTITUTE SERVICES; OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (C) ANY THIRD-PARTY CONDUCT ON THE SERVICE; (D) ANY CONTENT OBTAINED FROM THE SERVICE; OR (E) ANY OTHER MATTER RELATING TO THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50.00).
You agree to indemnify, defend, and hold harmless ReviewFunnel, its officers, directors, employees, agents, partners, suppliers, and affiliates from and against any and all claims, demands, actions, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third party's rights, including intellectual property, privacy, or publicity rights; (e) any content you submit through the Service; (f) any reviews or feedback collected through your use of the Service; or (g) any dispute between you and your customers. This indemnification obligation shall survive termination of your account and these Terms.
Paid subscriptions are billed in advance on a monthly basis. All fees are non-refundable except as required by applicable law. We reserve the right to change pricing at any time with 30 days' notice. Failure to pay may result in suspension or termination of your account. Free trials automatically convert to paid subscriptions unless cancelled before the trial period ends. You are responsible for cancelling your subscription before renewal to avoid charges.
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including but not limited to breach of these Terms. Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete your account and all associated data; (c) any outstanding fees become immediately due. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, and without liability to you. We may revise these Terms at any time by posting the updated version on this page. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
The Service, including its original content, features, functionality, design, code, and branding, is and shall remain the exclusive property of ReviewFunnel. The Service is protected by copyright, trademark, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Pinellas County, Florida. You consent to the personal jurisdiction of such courts and waive any objection to venue. YOU AND REVIEWFUNNEL AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, or third-party service outages.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and ReviewFunnel regarding the Service and supersede all prior agreements, representations, and understandings.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of ReviewFunnel.
